Distributorship Agreement
Country- or region-level distribution: scope, sales channels, targets, importer role, customs and after-sales duties, term, and termination.
Last updated: October 2026
1. Scope
Distributorship is an ongoing relationship governing the distribution of FENETRE Systems products in a specific country or region. The agreement expressly defines:
- the product groups covered (which of the insect screen, pleated insect screen and blind lines),
- the authorised sales channels (retail, project, online channels),
- the geographic scope and any exclusivity — exclusivity applies only where defined in writing.
2. The Distributor's Duties
Depending on the agreed scope, the distributor may undertake the following duties: periodic sales targets, holding local stock, a showroom or display point, establishing a sub-dealer network, sales-team training and local marketing activities. Each duty is written into the agreement in measurable form.
3. Importer Role and Local Obligations
- The distributor, acting as importer in its own country, is responsible for customs declarations, import duties and customs brokerage.
- The conformity documents, labels and language requirements imposed by the country are researched and supplied by the distributor; FENETRE provides the export documents.
- Local consumer law, warranty and after-sales obligations are carried out by the distributor; matters arising from product defects are escalated to FENETRE through the warranty process.
4. Orders and Dispatch
Orders are placed through the dealer portal or the agreed channel; lead times and dispatch conditions are confirmed on a per-order basis. The sharing of customs and transport follows the international delivery rules in the Shipping & Delivery policy; the choice of Incoterms is written into the agreement.
5. Brand and Marketing
The distributor uses the brand in its country for promotion and sales purposes, in accordance with the brand guide provided. The approval process for producing localised materials is determined by the agreement.
6. Term, Termination and Remaining Rights
- The agreement may be established for a fixed or indefinite term; termination conditions are defined by a written notice period.
- On termination, open orders are completed; the treatment of remaining stock (continued sale, buy-back or disposal) is separately regulated in the agreement.
- The continuation of sub-dealer relationships, the distributor's local obligations and the transfer of warranty records are settled in the agreement.
- The distributor's pricing and sales policy is at its own discretion; the agreement contains no clause limiting the resale price.
